Code of Ethics

Introduction

This Code of Ethics defines the values, principles, and rules of conduct that guide all activities of Radio Analog Micro Electronics S.r.l. (hereinafter “RAME”).

RAME is an advanced research and development company whose distinctive value lies primarily in the growth of its people, the quality of work performed, and the integrity of internal and external relations.

This Code aims to make these principles explicit, shared, and binding for all individuals operating on behalf of the Company. Compliance with the Code of Ethics constitutes an integral part of contractual obligations.

1. General Principles

RAME bases its activities on the following principles:

  • legality and compliance with current regulations;

  • fairness, loyalty, and responsibility;
  • respect for the individual and enhancement of skills;

  • moral and professional integrity;
  • rejection of any form of pressure, solicitation, discrimination, or opportunistic conduct.
  • any behavior contrary to these principles is considered incompatible with RAME’s values.

2. Human Resources and Professional Growth

RAME recognizes that its people are the company’s primary asset. The growth of human resources is a necessary condition for corporate growth: it must be accompanied by the development of individual responsibility, professional maturity, and full alignment with the Company’s ethical values.

As an advanced R&D company, RAME continuously promotes:

  • technical, scientific, and methodological training;

  • development of independent judgment and the ability to take responsibility;

  • Professional growth consistent with the role held and the company’s strategic needs.

RAME prioritizes internal promotion and development over external recruitment whenever possible, respecting the organization and corporate sustainability.

3. Value of Work and Remuneration

For RAME, work represents a path of professional and human growth founded on commitment, competence, and responsibility. Remuneration is not the goal of work but the recognition of value expressed over time, in relation to:

  • the role held;

  • professional skills effectively acquired and applied;

  • the level of maturity, reliability, and autonomy demonstrated;

  • the real, continuous, and measurable contribution to company growth.

While it is legitimate to discuss professional and economic evolution , remuneration may not be used as a tool for pressure, blackmail, or improper negotiation leverage against RAME or other entities related to RAME’s activities. All economic evaluations or requests must be transparent, respectful, and consistent with this Code.

4. Internal Relations and Work Environment

RAME promotes a work environment based on mutual respect, professional dialogue, and individual responsibility. Differences of opinion are considered physiological and a source of improvement if managed correctly. They must be expressed:

  • in a professional and respectful manner;

  • in the appropriate venues;

  • avoiding derogatory, defeatist, or harmful behavior toward the dignity of others.

Any interactions regarding disagreements within RAME must occur confidentially and exclusively between the parties involved, without being disclosed to uninvolved employees. Derogatory statements, defeatist attitudes, or actions likely to hinder the work of others regarding professional competence, ethics, or human integrity are not tolerated.

5. External Relations and Integrity

RAME operates with clients, suppliers, partners, and institutions based on principles of fairness, transparency, independence, and impartiality. RAME does not tolerate any form of undue solicitation or pressure to obtain improper advantages.

Specifically:

  • it is prohibited to offer, promise, or accept benefits or gifts intended to obtain preferential treatment;

  • it is prohibited to circumvent these rules through indirect means such as unjustified consultancies or sponsorships;

  • integrity and independent judgment are required in all professional relationships.

6. Compliance and Implementation

Compliance with this Code is mandatory for everyone operating on behalf of RAME. Violations will be sanctioned proportionately to the severity of the facts, in accordance with current regulations and contractual agreements.

This Code is adopted in compliance with the Italian legal system and may be integrated into a future Organization, Management, and Control Model pursuant to Legislative Decree 231/2001.
